HOUSE LEASE CONTRACT

Hereinafter called ?the Lessee?.
Two parties have agreed upon the lease contract as per terms and conditions
as follows:
Article 1. The Lessee agrees to rent and the Lessor agrees to lease the house
at:
?????street, ward ??????.., District ..........., Hochiminh city, Vietnam.
Article 2. The specific purpose of use:
1. For residence of Mr. ??????? and his family, who shall register for their
residence at the premises.
2. Comprising of ??????? levels. Usable area of about ?????.. sq.m.
Article 3. The price of rent
1. The price of rent is ????????US$/ per month.
(Says: ????????????? US Dollars per month).
2. The rental shall be exclusive of utilities such as: water, telephone,
internet, electricity, cable TV monthly fee, etc, ... These charges (of above
utilities) shall be paid separately, according to the actual consumption.
3. The rental price shall be fixed during the term of the lease.
Article 4. Period of lease
1. The period of lease is ?????. years.
Commencing on ?????????.. and expiring on ????????..
2. And then, the Lessee has a priority to renew this lease for another
period, but the Lessee has to inform the Lessor in advance at least thirty
(30) days in written notice.
Article 5. Payment term
1. The Lessee shall pay the rent in US Dollars or in VN Dong by cheque or in
cash or by bank transfer to the Lessor according to the exchange rate of the
Vietcombank, HCM city branch, at the time of payment. Bank charges (if any)
shall be borne by The Lessee.
2. The Lessee shall pay every ???????? month rent in advance to the Lessor,
within first 05-working days.
3. The Security Deposit: The Lessee will pay to the Lessor, ??????? US
Dollars only (US$????..) for Security Deposit, right after signing this
contract. The deposit shall be refunded in the same currency (which the
Lessee paid) from the Lessor to the Lessee within 30 days after the contract
terminated as the cases of Termination clauses that stated on the last page
of this House Lease Contract, article 7.3. The Lessee, in this time will pay
completely all bills of utilities before getting back the Security deposit.
Article 6. Responsibilities of the parties.
Both parties mutually agree to undertake the following responsibilities:
A. Responsibilities of the Lessor:
1. To hand over the house and facilities to the Lessee on validity date of
the House Lease.
2. To ensure the Lessee?s right to occupy the house fully and separately.
3. To guide the Lessee comply with the regulations on registration of
temporary residence.
4. To promptly repair all the damage related to the construction (such as:
walls, roof, foundation, drains, electricity & water system, leakage, air
conditioners, water heaters) as requested by the Lessee; except the small
damage and the other damage caused by the Lessee and its visitors, then the
Lessee has to fix it.
5. If there is a need to do the maintenance or repair work, the Lessor must
inform the Lessee in writing or telephone in advance and the latter to permit
the Lessor and its authorized agents to carry out the repair and maintenance
works. If the Lessee or the Lessor hinders the repair, thus endangering the
safety of the renting house, then the Lessee or the Lessor must bear the cost
arising from the consequences.
B. Responsibilities of the Lessee:
1. To pay the rent on time.
a. In case of delay in a payment for the rental by the Lessee, a penalty
equivalent to 0,1% of the total due amount payable to the Lessor will be
charged by the Lessor to the Lessee for each day of delay.
b. If the payment is delayed over 15 days from the stated payment above, the
Lessor can reserves the right to terminate the Lease without any compensation
by sending a three (03) days-prior written notice to the Lessee. In this
case, the Lessee will lose its security deposit and pay one month rental to
the Lessor for penalty.
2. To use the premises for the right purpose as specified. Any repairs and
renovations which are needed to satisfy its own requirements must be subject
to the consent of the owner and must comply with the regulations on capital
construction of Vietnam.
3. To be responsible and bear all costs for any damage or losses of the
interior furnishing and facilities caused by the Lessee itself (except normal
wear & tear), for damage caused by the Lessee and its visitors during the use
of such premises and for protecting all its own personal property and
effects.
4. To comply with the regulations on the general protection of sanitation
environment order and security within the residential areas.
5. Not to be entitled to transfer this lease contract or to sublet the
premises to another Lessee without the Lessor?s advance written approval.
Article 7. Commitments by both parties.
1. This lease contract shall be properly implemented upon execution by both
parties. Any amendment and addition must be agreed upon in writing by both
parties. If there is any dispute or breach of lease by either party, the
matter will be settled through conciliation and negotiation. If solution can
not be found, the matter shall be brought to the HCM city Court for judgment.
2. In case, if the Vietnamese government enacts any new law or regulation on
the house leasing; Two parties will re-negotiate the related terms and
conditions to make them in line the new law or regulation.
3. Termination of this lease contract shall be effected in the following
cases:
a. The term of this lease contract has expired.
b. The premises are to be demolished under a decision by a duty-authorized
body or to be burned out (not caused by negligence of the Lessee).
c. The Lessee is expelled from Vietnam or the operation license is withdrawn
in Vietnam
d. In case of Nature Force Major (legal unforeseen circumstances, as stated
by law), such as:
Act of God, Storm, War, or similar events.
e. Upon the proposal made by either party and approved by the other one.
3.1 In case of termination as events: article 7.3a, b, and d; the Lessor will
return the security deposit to the Lessee. The Lessee, in this time will pay
completely all bills of utilities before getting back the Security deposit.
3.2 In event 7.3.f, two parties shall negotiate and agree for returning
security deposit and compensation before terminating the lease contract.
The contract is made in 02 copies in Vietnamese and 02 copies in English with
equal validity. Each party keeps one copy in each language. The contract is
valid from the signed date.
